Proposals and Estimates Any proposal, quote, estimate, timeline, or project description provided by Cognivance Automation Corp is based on the information available at the time it is prepared. Project costs, timelines, and deliverables may change if: The client changes the requested scope New technical requirements are discovered Third-party platforms impose limitations External vendors, APIs, or systems delay access or approval Additional features or revisions are requested Required client information is delayed or incomplete No proposal is binding until accepted in writing and, when applicable, the required payment has been received. 4. Client Responsibilities Clients are responsible for providing accurate, complete, and timely information needed to perform the requested services. This may include, but is not limited to: Business requirements Access credentials Platform documentation Brand assets Content System permissions Feedback and approvals Legal or compliance requirements specific to the client’s industry Cognivance Automation Corp is not responsible for delays caused by missing information, delayed approvals, incomplete access, or client-side changes. 5. Third-Party Services Some projects may require the use of third-party services, including but not limited to hosting providers, payment processors, APIs, CRM systems, automation platforms, AI tools, analytics tools, cloud services, and software vendors. The client understands that third-party platforms are controlled by their respective providers. Cognivance Automation Corp is not responsible for outages, policy changes, approval delays, service interruptions, pricing changes, limitations, rejected accounts, or technical restrictions caused by third-party providers. 6. Payments Payments must be made according to the invoice, proposal, payment link, or written agreement provided to the client. Accepted payment methods may include credit card, debit card, ACH, wire transfer, Zelle, or other approved payment methods.

Invoices may be issued for consulting fees, discovery services, setup fees, milestone payments, monthly retainers, implementation services, support services, or other approved service charges. Unless otherwise stated in writing, work may not begin until the required initial payment, deposit, milestone payment, or consulting fee has been received. 7. Late Payments If payment is not received by the due date, Cognivance Automation Corp may pause work, delay delivery, withhold access, suspend support, or stop providing services until the outstanding balance is paid. Intellectual Property Unless otherwise stated in writing, Cognivance Automation Corp retains ownership of its internal methods, frameworks, templates, processes, concepts, reusable code, development practices, automation structures, documentation formats, and proprietary knowledge. Upon full payment, the client may receive usage rights or ownership rights to the specific deliverables defined in the project agreement, proposal, or invoice. Ownership transfer does not include third-party software, licensed tools, stock assets, external APIs, open-source components, or proprietary internal systems unless specifically stated in writing. 9. Confidentiality Both parties agree to keep confidential information private and not disclose sensitive business, technical, financial, operational, or client information without authorization, except when required by law or necessary to complete the project. 10. No Guarantee of Specific Business Results Cognivance Automation Corp provides professional business consulting, digital growth, workflow automation, CRM, technology-assisted implementation, and process improvement services intended to improve systems, workflows, automation, marketing operations, and business operations. However, we do not guarantee specific financial outcomes, revenue increases, customer acquisition results, platform approvals, third-party acceptance, operational savings, or business performance unless explicitly stated in a signed written agreement. 11. Because these services involve time, planning, analysis, strategy, labor, evaluation, preparation, and custom work, payments are generally non-refundable once work has started. 2. Discovery, Consulting, and Analysis Fees Payments for discovery sessions, business assessments, marketing reviews, project analysis, requirements gathering, workflow reviews, CRM planning, automation planning, consulting, strategy sessions, feasibility reviews, audits, or planning work are non-refundable once scheduled, delivered, started, or partially completed. These services are billed for professional time, expertise, evaluation, and preparation, regardless of whether the client later decides to continue with a larger project. 3. Deposits and Initial Payments Deposits, onboarding payments, initial project payments, reservation fees, or first milestone payments are used to reserve resources, begin planning, allocate development time, and initiate project work. Unless otherwise stated in writing, these payments are non-refundable once the project has been accepted, scheduled, or started. 4. Milestone Payments For projects divided into milestones, each milestone payment covers the work, planning, development, consulting, or deliverables associated with that specific stage. 4. Project Terms

Project Terms Last Updated: May, 01 2026 These Project Terms apply to business consulting, digital marketing strategy, CRM setup, workflow automation, lead generation systems, customer follow-up automation, platform integration, process improvement, technology-assisted implementation, and related project services provided by Cognivance Automation Corp. These terms work together with any proposal, invoice, statement of work, written agreement, or project confirmation provided to the client. 1. Project Scope The project scope may include consulting, planning, marketing strategy, CRM setup, workflow design, automation planning, configuration, platform integration, lead capture systems, customer follow-up systems, reporting, documentation, implementation, testing, or support.
Only the items clearly listed in the accepted proposal, invoice, agreement, or written confirmation are included in the project. Any feature, service, revision, platform, integration, or deliverable not specifically included may require additional approval and payment. 2. Discovery and Requirements Before development or implementation, Cognivance Automation Corp may perform discovery, analysis, requirements gathering, technical evaluation, workflow review, or system planning. This stage helps define the project structure, business needs, technical risks, required tools, estimated timeline, and potential deliverables. Discovery does not guarantee that a full project will proceed unless both parties agree to the next stage. 3. Milestones Projects may be divided into milestones. Each milestone may include a specific set of deliverables, technical tasks, consulting work, or implementation steps. Work on a milestone may begin after the related payment is received and the required client information is provided. Milestone timelines may depend on client responsiveness, third-party access, technical complexity, and approval cycles. 4. Cognivance Automation Corp is not responsible for third-party platform limitations, rejected accounts, API restrictions, downtime, policy changes, or approval delays. 8. Timeline Any timeline provided is an estimate unless specifically stated as a fixed deadline in a signed written agreement. Timelines may change due to: Client delays Scope changes Technical issues Third-party provider delays Missing access Additional requested features Testing requirements External dependencies
9. Testing and Delivery Deliverables may be tested internally before delivery. The client is responsible for reviewing the delivered work and reporting any issues within the review period provided. Issues related to the approved scope may be corrected as part of the project. New requests or changes outside the approved scope may require additional billing. 10. Ownership and Usage Rights Ownership or usage rights for final deliverables depend on the specific agreement and full payment of all required amounts. Until full payment is received, Cognivance Automation Corp may retain ownership, restrict access, pause delivery, or withhold final files, credentials, systems, or documentation. Cognivance Automation Corp retains ownership of reusable frameworks, internal methods, templates, know-how, processes, libraries, and proprietary development approaches unless otherwise agreed in writing. 11. Support and Maintenance Support, maintenance, monitoring, updates, optimization, bug fixes, or ongoing technical assistance after project delivery are not included unless specifically stated in writing. Post-launch support may be offered under a separate maintenance agreement, hourly arrangement, monthly retainer, or new project milestone. 12. Payments and Work Suspension Work may be paused if payment is late, access is missing, the client becomes unresponsive, or required approvals are delayed. Cognivance Automation Corp is not responsible for project delays caused by non-payment, missing information, or client-side inaction. 13. Confidentiality Both parties agree to protect confidential project information, including business processes, technical systems, client data, strategy, credentials, documentation, pricing, and internal communications. 14. No Guarantee of Platform Approval or Business Results Cognivance Automation Corp may assist with technical development, automation, integrations, workflows, and system implementation. However, we do not guarantee approval by third-party platforms, payment processors, app stores, banks, vendors, or external systems. We also do not guarantee specific revenue, sales, profits, customer growth, cost savings, or operational results unless expressly stated in a signed agreement. 15. Project Termination Either party may request to terminate a project in writing. Amounts already paid may be retained for work performed, time allocated, planning completed, deliverables prepared, and resources reserved.
